CHAPTER 41 BY-LAWS

ARTICLE I
NAME
This organization will be known as the North Dakota Public
Employees Association (NDPEA) Chapter 41.
ARTICLE II
PURPOSE
The purpose of the Chapter will be:
a. To serve as a liaison between the membership of the
Chapter and the state organization.
b. To support the programs, projects and endeavors of the
NDPEA.
c. To address local issues of the membership.
d. To address local public service issues as approved by
the Executive Board or the membership.
ARTICLE III
MEMBERSHIP
All persons employed by the University of North Dakota or
its allied agencies will be eligible for membership in the
Chapter. Membership in the NDPEA will be a prerequisite for
membership in the Chapter. The Executive Director of the
NDPEA will assign members to the Chapter.
ARTICLE IV
OFFICERS
Section 1. Officers
Officers of the Chapter will be:
a. President
b. Vice President
c. Secretary/Treasurer
d. Two Members at Large
e. NDPEA Board Member (ex-officio)
Section 2. Elections.
All officers will be elected at a regular business meeting
which will be held in the myth month of September, prior to
the annual meeting of the NDPEA Delegate Assembly. This
meeting will be known as the annual meeting. Notice will be
given to the membership of the annual meeting.
Officers will be elected for terms of one year or until
their successors have been duly elected.
After the report of the Nominating Committee, the presiding
officer will entertain nominations from the floor. A
majority vote of those present and voting at the annual
meeting will be required for the election of any officer.
Unless the candidate is unopposed, all elections will be
conducted by secret ballot.
ARTICLE V
EXECUTIVE BOARD
Section 1. Composition.
The Executive Board will consist of all officers of the
Chapter; all officers are voting members.
Section 2. Duties.
It will be the duty of the Executive Board:
a. To conduct all business affairs of the Chapter
between Chapter Meetings.
b. To plan the agenda for Chapter business meetings.
Section 3. Meetings.
The Executive Board will meet at a time and place to be
determined by the Board. Special meetings of the Board may
be called by the President or at the request of two members
of the board.
ARTICLE VI
MEETINGS
Section 1. Requirement
a. The Chapter will meet at least quarterly.
Section 2. Quorum.
A quorum will consist of five (5) members; no business
will be transacted in the absence of a quorum.
ARTICLE VII
COMMITTEES
Section 1. Standing Committees.
The Standing Committees of the Chapter will be:
a. Membership Committee
b. Legislative Action Committee
c. Committee on Political Education
d. Program Committee
Section 2. Standing Committee Responsibilities.
a. The membership committee will develop programs and
activities which will cause all eligible persons to
join and participate in NDPEA
b. The Legislative Action Committee (LAC) will serve as
liaison between the State Office of NDPEA and the
membership of the Chapter in carrying out the
Legislative Program of the NDPEA.
c. The Committee on Political Education (COPE) will assist
the statewide committee in carrying out its duties
which include: securing voluntary contributions to
support the political work of the organization and
implementing programs to promote voting and to support
the election of candidates endorsed by the NDPEA Board
of Directors.
d. The Program Committee will be responsible for planning
and scheduling programs and special events for the
Chapter.
Section 3: Special Committees
The Executive Board or the Chapter itself may authorize
special committees when deemed necessary to carry out the
work of the Chapter. The President may initiate the
formation of4 special committees with approval by the
Executive Board or by the Chapter itself. Two special
committees which will be appointed when needed are:
a. The Nominating Committee will nominate one or more
candidates for each office scheduled for the annual
election of officers. After the report to the Chapter,
nominations from the floor will be called for.
b. The Resolutions Committee will be responsible for the
development of resolutions to be submitted to the NDPEA
Delegate Assembly. The Committee will attempt to
involve the entire membership of the Chapter in this
process.
ARTICLE VIII
AFFILIATION
The Chapter will serve as a constituent unit of and maintain
affiliation with the North Dakota Public Employees
Association, American Federation of Teachers Local 4660,
AFL-CIO.
The Chapter will take no action in opposition to policies
and decisions made by the Delegate Assembly or by the H
Board of Directors of NDPEA. Any proposed amendment to these
Bylaws which is in conflict or contradiction with the
Articles of Incorporation or the Bylaws of the NDPEA, AFT
Local 4660, AFL-CIO will be considered null and void.
ARTICLE IX
PARLIAMENTARY AUTHORITY
The rules contained in the current edition of Robert's
Rules of Order Newly Revised will govern the Chapter in all
cases to which they are applicable and in which they are not
in conflict with the Bylaws of the Chapter.
ARTICLE X
AMENDMENT OF BYLAWS
The Bylaws may be amended in the following manner:
a. An amendment proposed by any member will be
submitted in writing, along with the article or section to
be amended, at a regularly scheduled business meeting as a
pre-notice to the membership.
b. A proposed amendment to these Bylaws will be
considered at the next regularly scheduled Chapter business
meeting following the one at which it was pre- noticed.
c. A two thirds (2/3) vote of those present and
voting will be required for the adoption of a proposed
amendment to these Bylaws.
